Terms of Service - NexaStream Studio Singapore

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether acting as an individual or on behalf of an entity ("Client", "you", or "your"), and NexaStream Studio Singapore ("NexaStream Studio Singapore", "we", "us", or "our"), governing your access to and use of our services, facilities, equipment, platforms, and related offerings.

By booking, accessing, purchasing, or using any service provided by NexaStream Studio Singapore, including but not limited to live event streaming, podcast recording and production, webinar and virtual conference hosting, multi-camera studio filming, green screen and branded set production, audio mixing, and voice-over recording, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to these Terms, you must not use our services. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Scope of Services

NexaStream Studio Singapore provides professional streaming-studio services, which may include one or more of the following:

  • Live event streaming and broadcast support;
  • Podcast recording, editing, and production;
  • Webinar and virtual conference hosting and technical facilitation;
  • Multi-camera studio filming and production support;
  • Green screen and branded set production;
  • Audio mixing, sound capture, and voice-over recording;
  • Associated pre-production, on-site, and post-production services as agreed in writing.

The exact scope, deliverables, timelines, technical specifications, and pricing for each engagement will be set out in a quotation, booking confirmation, statement of work, invoice, or other written agreement issued by NexaStream Studio Singapore. Any services not expressly included are excluded unless agreed in writing.

We may refuse, suspend, or discontinue any service where we reasonably determine that the requested content, conduct, or technical requirements are unlawful, unsafe, defamatory, infringing, offensive, or otherwise inconsistent with our policies or operational standards.

3. User Obligations and Responsibilities

You agree to:

  • Provide accurate, complete, and up-to-date information when making a booking or using our services;
  • Ensure that all content, materials, scripts, media files, music, images, logos, and other assets supplied by you are lawful and do not infringe any third-party rights;
  • Obtain all necessary consents, licences, releases, permissions, and approvals required for recording, streaming, publishing, or distributing content;
  • Comply with all applicable laws and regulations in Singapore and any other relevant jurisdiction;
  • Follow all studio rules, safety instructions, technical guidelines, and reasonable directions given by our staff or contractors;
  • Ensure that your guests, speakers, talent, crew, and representatives comply with these Terms and any applicable studio policies;
  • Not use our services for unlawful, harmful, abusive, fraudulent, obscene, harassing, or misleading purposes;
  • Not introduce malware, unauthorised devices, or other items that may disrupt our systems, equipment, or network.

You are solely responsible for the accuracy, legality, and suitability of any content you provide or approve for recording, streaming, publication, or distribution. Unless expressly agreed otherwise in writing, NexaStream Studio Singapore is not responsible for verifying the legal clearance of your content.

You are responsible for the conduct of all persons attending your booking, including compliance with venue rules, health and safety requirements, and any applicable building or landlord regulations.

4. Payment Terms and Conditions

Fees for our services will be communicated in advance through a quotation, booking confirmation, invoice, or other written communication. Unless otherwise stated, all fees are quoted in Singapore Dollars (SGD).

  • A booking may require a deposit or full prepayment to secure the requested date and time;
  • All invoices are payable by the due date stated on the invoice or, if no due date is stated, before the commencement of services;
  • Late payments may result in suspension of services, withholding of deliverables, cancellation of bookings, and/or late payment charges to the extent permitted by law;
  • Any bank charges, payment processing fees, withholding taxes, or foreign exchange costs imposed by your payment method or financial institution shall be borne by you;
  • Unless expressly stated otherwise, fees are exclusive of GST and other applicable taxes, duties, or levies.

If your booking exceeds the agreed scope, requires additional staffing, extended studio time, extra editing, reshoots, or other supplementary work, NexaStream Studio Singapore may charge additional fees at our prevailing rates or as otherwise agreed in writing.

We reserve the right to suspend or withhold delivery of any recordings, files, streams, or final outputs until all outstanding amounts have been paid in full.

5. Cancellation and Refund Policy

Cancellations and rescheduling requests must be made in writing. The following policy applies unless a separate written agreement states otherwise:

  • More than 14 days before the scheduled service date: deposit may be partially refundable, less any non-recoverable costs and administrative charges;
  • 7 to 14 days before the scheduled service date: a cancellation fee may apply, and any deposit may be forfeited in whole or in part;
  • Less than 7 days before the scheduled service date: the full service fee may be charged or retained;
  • No-shows, late arrivals, or failure to provide required materials, approvals, or access may be treated as a cancellation without refund;
  • Where third-party costs have been incurred on your behalf, those costs are non-refundable.

Refunds, if any, are issued at our discretion in accordance with this policy and any applicable law. Refunds do not apply to services already performed, time reserved, custom production work completed, or digital deliverables already provided.

If a session is delayed or interrupted due to your actions, your guests, or your failure to provide necessary information, equipment, approvals, or access, we may charge for the additional time or rescheduling required.

6. Liability Limitations

To the fullest extent permitted by Singapore law, NexaStream Studio Singapore shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill, arising out of or in connection with the use of our services.

Without limiting the foregoing, we are not responsible for:

  • Internet outages, bandwidth limitations, platform failures, or third-party service interruptions;
  • Equipment malfunction caused by misuse, environmental conditions, power issues, or external interference;
  • Content errors, omissions, or inaccuracies supplied or approved by you;
  • Delays caused by your failure to arrive on time, provide materials, or give approvals;
  • Loss or corruption of files due to circumstances beyond our reasonable control;
  • Claims arising from your unlawful use of recorded, streamed, or published content.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid by you to NexaStream Studio Singapore for the specific service giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all intellectual property rights in our pre-existing materials, studio branding, templates, workflows, equipment configurations, methods, software setups, and proprietary production processes remain the property of NexaStream Studio Singapore or our licensors.

Subject to full payment of all applicable fees, you will receive a non-exclusive, non-transferable licence to use the final deliverables we provide to you for the agreed purpose, unless a broader assignment or licence is expressly stated in writing.

You retain ownership of materials you supply to us, but you grant NexaStream Studio Singapore a worldwide, royalty-free, non-exclusive licence to use, reproduce, store, process, edit, transmit, and display such materials solely for the purpose of performing the services and fulfilling our obligations under these Terms.

Unless otherwise agreed in writing, raw footage, project files, session files, unedited recordings, and working materials remain our property or may be retained or deleted at our discretion after delivery of the final outputs, subject to our internal retention practices.

You warrant that any content you provide does not infringe copyright, trademark, moral rights, privacy rights, publicity rights, or any other rights of any third party. You shall indemnify and hold harmless NexaStream Studio Singapore against any claims, losses, damages, liabilities, costs, and expenses arising from a breach of this warranty.

8. Data Protection and Privacy

NexaStream Studio Singapore collects, uses, discloses, and processes personal data in accordance with the Singapore Personal Data Protection Act 2012 ("PDPA") and our internal privacy practices.

By using our services, you consent to our collection and use of personal data necessary to:

  • Manage bookings, billing, and customer support;
  • Provide and improve our services;
  • Communicate with you regarding your booking or account;
  • Store and process recordings, contact details, and technical information related to your project;
  • Comply with legal, regulatory, accounting, and audit obligations.

Where you provide personal data of guests, speakers, talent, or other individuals, you represent that you have obtained all necessary consents or have another lawful basis to disclose such data to us for the purposes of service delivery.

We may engage third-party service providers, including cloud storage, streaming platforms, payment processors, and technical vendors, to support service delivery. Such providers may process data on our behalf subject to appropriate contractual safeguards where applicable.

You acknowledge that live streaming, recording, and online publication may involve transmission of data over networks and platforms that are not fully secure. While we take reasonable measures to protect data, we do not guarantee absolute security.

9. Force Majeure

NexaStream Studio Singapore shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, storm, epidemic, pandemic, government action, war, terrorism, civil unrest, labour disputes, power failure, internet outage, equipment shortages, transport disruption, or failure of third-party platforms or suppliers.

If a force majeure event occurs, we may suspend, reschedule, modify, or cancel affected services without liability, and we will use reasonable efforts to notify you and propose an alternative arrangement where practicable.

10. Changes to Terms

We may revise these Terms from time to time to reflect changes in our services, operational practices, legal requirements, or business needs. Updated Terms will be posted or otherwise made available to you and will take effect on the date specified in the revised version.

Your continued use of our services after any update constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services and, where applicable, cancel any future bookings in accordance with these Terms.

11. Applicable Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, including any non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of Singapore.

The parties submit to the exclusive jurisdiction of the courts of Singapore, subject to any mandatory dispute resolution process or statutory requirement that may apply under Singapore law.

13. Severability Clause

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable, or if such modification is not possible, severed from these Terms.

The remaining provisions shall continue in full force and effect. Any failure or delay by NexaStream Studio Singapore to exercise any right or remedy under these Terms shall not operate as a waiver of that right or remedy.

By engaging our services, you acknowledge that you have read, understood, and agreed to these Terms of Service.
